1. Agreement to Terms

By placing a wholesale order, you confirm that you have read, understood, and agree to these terms and conditions. These terms apply to all wholesale transactions for Leonardite products unless otherwise specified in a written agreement.

2. Wholesale Eligibility

To qualify for wholesale pricing, you must meet the following criteria:

Possess a valid business license or tax ID related to agriculture, landscaping, or soil amendment.
Agree to purchase products in the minimum order quantities (MOQ) specified by Humicas.
Use the products solely for resale, distribution, or business-related purposes, not personal use.

3. Pricing and Payment

Pricing: Wholesale prices are provided upon account approval and are subject to change without notice.
Payment Terms: Payment must be made in full prior to shipment unless a written credit agreement is established. Accepted payment methods include bank transfers, credit cards, and other approved methods.
Taxes: All applicable sales taxes, VAT, duties, and shipping costs are the responsibility of the buyer unless proof of tax exemption is provided.

4. Minimum Order Quantities (MOQ)

All wholesale purchases are subject to MOQs specified by Humicas. Orders below the MOQ will not qualify for wholesale pricing.

5. Shipping and Delivery

Shipping Costs: Shipping costs are calculated based on the size, weight, and destination of the order and are borne by the buyer unless otherwise agreed.
Delivery Times: Estimated delivery times are provided upon order confirmation but may vary due to logistics or unforeseen delays.
Ownership and Risk: Ownership of goods transfers to the buyer upon shipment. Humicas is not responsible for loss or damage during transit.

6. Product Quality and Warranty

Humicas guarantees that all Leonardite products meet the specified quality standards at the time of shipment.
If a product arrives damaged or does not meet the agreed specifications, claims must be submitted within 7 days of receipt. Approved claims will be addressed through replacement or credit.

7. Returns and Refunds

Returns are only accepted for defective or incorrectly shipped products.
To initiate a return, contact Humicas within 7 days of delivery with supporting documentation, including photos of the product and packaging.
Refunds or replacements will be processed after the returned products are inspected and approved by Humicas.

8. Intellectual Property

All trademarks, logos, and branding associated with Humicas and Leonardite products remain the exclusive property of Humicas. Wholesale buyers may not modify, replicate, or misrepresent the product or brand without written consent.

9. Resale Guidelines

Wholesale buyers agree to:

Represent Leonardite products accurately and professionally in all resale or marketing efforts.
Not sell below the minimum advertised price (MAP) set by Humicas if applicable.
Obtain written permission before reselling to third-party marketplaces (e.g., Amazon, eBay).

10. Limitation of Liability

Humicas is not liable for indirect, incidental, or consequential damages arising from the use, resale, or distribution of Leonardite products. The total liability for any claim is limited to the value of the goods purchased.

11. Termination

Humicas reserves the right to terminate a wholesale account at any time for violations of these terms or any activity deemed harmful to the brand or business.

12. Changes to Terms and Conditions

Humicas reserves the right to update these terms and conditions at any time. Changes will be communicated to wholesale buyers via email or our website.
